1 Eligibility & Scope
1.1 The Platform is offered to business customers only. By using ConstructSum, you confirm that you are acting on behalf of a business, organisation, or legal entity.
1.2 These Terms apply to all subscription-based ConstructSum products, modules, and add-ons unless otherwise agreed in writing.
1.3 If you are entering into these Terms on behalf of an organisation, you confirm that you have the authority to bind it.
2 The Platform & Services
2.1 ConstructSum provides cloud-based tools for financial, contract, and project management, including (but not limited to) tendering, valuations, variations, purchase orders, reporting, and related workflows.
2.2 Features and availability depend on the selected subscription plan and modules. Not all features are included in every plan.
2.3 We may update, enhance, or modify the Platform from time to time to improve its functionality, security, or performance.
3 Accounts & Access
3.1 You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
3.2 You must ensure that all users accessing the Platform under your account comply with these Terms.
3.3 We reserve the right to suspend or restrict access if misuse, security risks, or a breach of these Terms is identified.
4 Subscriptions, Billing & Payments
4.1 ConstructSum is offered on a subscription basis, billed monthly or annually depending on the selected plan.
4.2 Payments are processed via Stripe or other authorised payment providers. By subscribing, you authorise us to charge the applicable fees on a recurring basis.
4.3 Subscriptions automatically renew at the end of each billing period unless cancelled in accordance with our Cancellation Policy.
4.4 Fees are exclusive of taxes, duties, or levies unless otherwise stated. You are responsible for all applicable taxes.
4.5 Failure to pay the applicable fees may result in suspension or termination of access.
5 Modular Pricing & Add-Ons
5.1 ConstructSum may offer multiple products, modules, or add-ons. Each subscription is priced and managed separately unless expressly bundled in writing.
5.2 Modules may be added, removed, or cancelled independently, subject to the applicable billing cycle.
5.3 Pricing and feature availability may vary by module and plan.
6 Cancellation & Renewal
6.1 Subscription cancellation, renewal, and deactivation are governed by the ConstructSum Cancellation Policy, which is part of these Terms.
6.2 In summary:
- Monthly subscriptions may be cancelled before the next billing date
- Yearly subscriptions are committed for the full term
- No refunds are issued for partial billing periods

7 Pricing Changes
7.1 We may update subscription pricing from time to time.
7.2 Any changes to pricing will take effect from the next renewal period and will not affect the current paid subscription term.
7.3 You will be notified in advance of any price changes and may choose not to renew if you do not agree.
8 Acceptable Use
8.1 You must not:
- Use the Platform unlawfully
- Interfere with system integrity or security
- Attempt unauthorised access
- Reverse engineer or copy the Platform
- Use the Platform to infringe third-party rights
8.2 We may suspend or terminate access for misuse or breach.
9 Intellectual Property
9.1 ConstructSum retains all rights, title, and interest in the Platform, including all intellectual property rights.
9.2 You are granted a non-exclusive, non-transferable, limited licence to use the Platform during an active subscription, solely for your internal business purposes.
9.3 No rights are granted except as expressly stated.
10 Data Protection & Privacy
10.1 We process personal data in accordance with applicable data protection laws, including UK GDPR.
10.2 Our use of personal data is governed by our Privacy Policy.
10.3 You remain responsible for ensuring that you have the appropriate rights and permissions to upload data to the Platform.
11 Data Retention
11.1 You retain access to your data during an active subscription.
11.2 Following subscription expiry:
- Data will be retained for a limited period in line with our data retention and security policies
- You are responsible for exporting data before it expires
- Data will be securely deleted after the relevant retention period
12 Availability & Support
12.1 The Platform is provided on a commercially reasonable basis. We do not guarantee uninterrupted or error-free operation.
12.2 Support levels may vary by subscription plan.
12.3 Any service levels or SLAs apply only if expressly agreed in writing.
13 Limitation of Liability
13.1 To the fullest extent permitted by law, ConstructSum shall not be liable for:
- Loss of profits, revenue, or business
- Loss of data
- Indirect or consequential loss
13.2 Our total liability arising out of or in connection with these Terms shall not exceed the fees you paid to ConstructSum in the 12 months preceding the claim.
14 Indemnity
You agree to indemnify and hold ConstructSum harmless against claims arising from:
- Your misuse of the Platform
- Breach of these Terms
- Violation of applicable law
15 Termination
15.1 We may suspend or terminate access immediately if:
- Fees remain unpaid
- These Terms are breached
- Use poses a security or legal risk
15.2 Upon termination, access will end in accordance with the Cancellation Policy.
16 Changes to These Terms
16.1 We may update these Terms from time to time.
16.2 Material changes will be communicated in advance and will apply from the next renewal period.
16.3 Continued use after renewal is acceptance.
17 Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.
